Terms of Service

These terms govern the use of the Appsians website and our delivery of consulting, design, engineering, and related digital services.

1. Acceptance of Terms

By accessing this website, booking a consultation, requesting a proposal, or engaging Appsians for services, you agree to these Terms of Service.

2. Services

Appsians provides digital services that may include software engineering, SaaS development, AI solutions, mobile app development, cloud and DevOps support, product design, quality assurance, consulting, and related discovery or delivery work.

Specific scope, timelines, deliverables, and commercial terms are defined in separate proposals, statements of work, contracts, or written confirmations.

3. Scope and Changes

All timelines, estimates, and pricing are based on the scope agreed at the time of proposal. If requirements change, Appsians may revise the delivery plan, schedule, fees, or resource allocation.

Out-of-scope requests may require a change request, revised quotation, or additional written approval.

4. Client Responsibilities

You agree to provide accurate information, timely feedback, required approvals, and any necessary access, credentials, content, assets, or business context needed for delivery.

Delays in feedback, approvals, or access may affect delivery dates and project momentum.

5. Fees and Payment

Fees, invoicing schedules, and payment terms are set out in the applicable proposal, contract, or statement of work. Unless otherwise agreed, invoices are payable according to the stated terms.

Late or overdue payments may result in paused work, delayed delivery, or suspension of support until payment is brought current.

6. Intellectual Property

Unless otherwise agreed in writing, Appsians retains ownership of its pre-existing tools, frameworks, processes, reusable assets, and know-how.

Upon full payment of applicable fees, the client receives rights to the final deliverables specifically created for the engagement, subject to any third-party software, open-source licenses, APIs, or platform dependencies used within the work.

7. Confidentiality

Each party agrees to treat non-public business, technical, financial, and project information shared during an engagement as confidential and to use it only for purposes related to the relationship, except where disclosure is required by law.

8. Warranties and Disclaimers

Appsians will perform services using reasonable skill and care. Except where explicitly stated in a written agreement, services and materials are provided without implied warranties of merchantability, fitness for a particular purpose, or uninterrupted availability.

9. Limitation of Liability

To the maximum extent permitted by law, Appsians will not be liable for indirect, incidental, special, consequential, or punitive damages, or for loss of profits, revenue, goodwill, business opportunity, or data.

Our total liability relating to any claim will not exceed the amount paid to Appsians for the specific services giving rise to that claim, unless a different limit is agreed in writing.

10. Termination

Either party may terminate an engagement according to the governing contract or proposal. Upon termination, the client remains responsible for fees due for work completed up to the termination date, including approved milestones and non-cancellable commitments.

11. Website Use

You may not use this website for unlawful, abusive, deceptive, or harmful purposes, including attempts to disrupt site operation, misuse forms, or interfere with security or access controls.

12. Updates to Terms

We may update these Terms of Service from time to time. The latest version will be published on this page with the updated effective date.
